1. Basics of PRO Marketplace

a) What can be sold on PRO Marketplace

PRO Marketplace is a special eCommerce platform, specifically focusing on products made in the USA. Our shoppers trust our marketplace and expect each brand to have met high standards prior to approval. Every product listed for sale on PRO Marketplace must be made in the USA.

The terms “Made in the USA”, “American made”, and “made in America” may be used interchangeably. These Made in USA products are products that are designed, assembled, sewn, made, crafted, constructed, manufactured, and/or grown in the United States.

We are especially cautious as a marketplace in defining the extent of American manufacturing utilized to bring a product to fruition. For example, if a product is solely designed in the US with every other portion of the supply chain outsourced, it will not be accepted on PRO. PRO Marketplace reserves the right to make the final judgement on the validity of a Made in USA claim as it applies to this marketplace. If you sell Made in the USA items, you agree that: 

1) all items are designed, assembled, sewn, made, crafted, constructed, manufactured and/or grown within the United States,
2) every product is manufactured in the US to the greatest extent possible,
3) the location at which the majority of your products are manufactured will be disclosed on your Storefront,
4) you are using your own photographs or video content.

We ask you to be transparent to the greatest extent possible in regards to how your Made in the USA items were made and especially where your materials come from, which tend to be the trickiest aspect of American manufacturing. You are free to disclose whether your products have social or environmental attributes aside from being made in the USA as well, such as organic or recycled.

b) Managing your PRO Marketplace Storefront

PRO Marketplace creates your Storefront for you, but it is your responsibility to ensure that all content is accurate, reflective of your current business practices, and up-to-date. Your Storefront represents your brand to the PRO Marketplace community, ready to learn more about what makes your brand, truly yours. It is extremely important that your products, as well as your brand as a whole, are honestly and accurately represented.

By selling on PRO and having a PRO Marketplace Storefront, you agree that you will: 

1) Provide honest, accurate information on your Storefront pages,
2) ensure your shop content, such as any text, photos or videos used to represent yourself, your shop or your listings, abide by PRO’s policies,
3) accurately represent your items in listings and listing photos,
4) not engage in fee avoidance,
5) not create duplicate shops or take any other action (such as manipulating clicks, carts or sales) for the purpose of shilling, manipulating search or circumventing PRO’s policies,
6) not coordinate pricing with other brands.

c) Brand Standards

By listing a product for sale on PRO Marketplace and opening a Storefront, you understand and agree that you are responsible for complying with all applicable laws and regulations for the products you list for sale, including any required labels and warnings. PRO assumes no responsibility for the accuracy, labeling, or content of your product listings.

By selling on PRO Marketplace, you agree to:

1) Honor your shipping and processing times depicted on your Storefront. Brands are obligated to ship an item or otherwise complete a transaction with a buyer in a prompt manner, unless there is an exceptional circumstance. Please be aware that legal requirements for shipping times vary by country.
2) Respond to buyer inquiries in a timely manner, whether that is through email or phone.
3) Honor the commitments you make in your shop policies.
4) Resolve disagreements or disputes directly with buyers.
5) Notify the buyer and cancel the order if you are unable to complete an order.

2. Privacy Policies on PRO Marketplace

a) Privacy and Protecting Personal Information

Your privacy policy as a brand must be compatible with this policy and PRO’s overall Terms of Use. You are responsible, as a brand, for protecting buyers’ personal information you receive. You must comply with all relevant legal requirements, including applicable privacy laws and data protection policies in utilizing PRO user information. These laws may require you to make accessible to PRO users you interact with your own privacy policy.

It is up to you to determine what to do with certain personal information when receiving communication from buyers, for example a buyer’s name or shipping address. Under EU law, you are an independent controller of data relating to other users you may have obtained through PRO Marketplace. You are a data controller, or in other words, an entity that decides what personal data is collected and what purpose that data will be used for, to the extent that you interact with and process buyer personal information outside of PRO Marketplace. You may be required to respond to requests received from users and buyers regarding data access, correction, deletion, objections to processing, and portability. If you disclose a buyer’s personal information without proper consent, you are responsible for the unauthorized disclosure, not PRO Marketplace, including situations of unintentional data breach.

When receiving personal information from a buyer, the information may only be used for PRO Marketplace-related communications and/or PRO Marketplace-facilitated transactions. You are not allowed to use this information for unauthorized transactions or unsolicited commercial messages. You may not add any PRO Marketplace user or buyer to your email or physical mailing list, utilize the personal information for marketing, or obtain and/or retain any payment information without prior buyer consent, subject to other applicable PRO Marketplace policies and laws. You are responsible for knowing the standard of consent required in any given instance. If PRO and you are found to be joint data controllers of personal information, and if PRO is sued, fined, or otherwise incurs expenses because of something that you did in your capacity as a joint data controller of buyer personal information, you agree to indemnify PRO for the expenses it occurs in connection with your processing of buyer personal information.

b) Communicating Cancellations

If you are unable to complete a transaction, you must notify the buyer and cancel the transaction. If the buyer already submitted payment, you must issue a full refund. You are encouraged to keep proof of any refunds in the event a dispute arises. All cancellations are subject to our Cancellation Policy.

European Union Right of Withdrawal Buyers in the European Union (EU) may be entitled to a 14-day “right of withdrawal” after receiving an item, during which they may return an item for any reason. The details of this right vary by EU member state. The right of withdrawal may not apply to certain items like custom items or perishable goods. Rights with respect to digital items vary by EU member state. 

Please be aware that in addition to this policy, each country has its own laws surrounding shipping, cancellations, returns, and exchanges. Please familiarize yourself with the laws of your own country and those of your buyers’ countries.

3. Feedback and Disputes

a) Reviews

Reviews are a great way for you to build a strong reputation on PRO Marketplace and gain a sense of trust from the PRO community. Buyers can leave a text review of their purchase.

Reviews and your response to reviews may not:
1) Contain private information;
2) Contain obscene, racist, or harassing language or imagery;
3) Contain spam;
4) Be about things outside your control, such as a shipping carrier, PRO Marketplace or a third party;
5) Contain threats or extortion;
6) Include shilling or otherwise falsely inflate a shop’s review score; or
7) Undermine the integrity of the Reviews system.

b) Disputes

We ask our buyers to contact brands directly and attempt to resolve any outstanding issues prior to contacting PRO Marketplace. It is imperative your Storefront policies are updated and that you respond to communication from your buyers on a regular basis. On the rare occasion a dispute cannot be resolved, PRO Marketplace will work with you and the buyer to resolve it as quickly as possible. 

Buyers are allowed to file a complaint with us for a not-as-described or a non-delivery item. You are responsible for responding to any such complaint within three days or the time frame noted by PRO Marketplace in the event of a special circumstance. PRO Marketplace may request your assistance in resolving a complaint opened against your Storefront and further reserves the right to escalate a complaint due to various reasons such as harassment, inactivity, manipulation, and undermining the integrity of a complaint system.

You understand that PRO Marketplace may use your personal information for the purpose of resolving complaints with other brands, users, and/or buyers. If PRO determines that an item is not as described, you will be required to refund the order, including original shipping and return shipping.

If PRO Marketplace has reason to believe you, your content, or your use of our platform violates our Terms of Use in any way, including this Brand Policy, we may deactivate your Storefront, suspend and/or terminate your account (and any accounts PRO determines is related to your account) and your access to the marketplace.
